7. Term
This Agreement shall be for a term of twenty-five (25) years (the “Initial Term”) commencing on
the Effective Date of this Agreement. This Agreement is subject to earlier termination as
provided below. During the Initial Term, a periodic review of this Agreement and the PALCI
Distributed Print Archive shall be conducted at five (5) year intervals.
Following the Initial Term, this Agreement shall automatically renew for additional five (5) year
periods (“Renewal Terms”) unless either party provides written notice to the other party at least
one (1) year prior to the conclusion of the then-current Term.
7.1 Termination by agreement. This Agreement may be terminated in whole or in part at any
time upon the mutual agreement of Archive Holder and PALCI.
7.2 Effect of termination. If Archive Holder withdraws from PALCI or can no longer perform
the requirements of this Agreement, a good faith effort will be made to place the Materials with
another Archive Holder.
8. Amendment
This Agreement may be amended in whole or in part at any time by mutual agreement of PALCI
and Archive Holder.
